Audit Committee

We have established an audit committee with written terms of reference in compliance with the Corporate Governance Code and Corporate Governance Report as set out in Appendix 14 to the Listing Rules.

The audit committee consists of three members, namely, Mr. Fung Nam Shan, Ms. Bi Hui and Mr. Wang Yuqing. The chairman of the audit committee is Mr. Fung Nam Shan.

The primary duties of the audit committee are to review and supervise our financial reporting process and internal control system of our Group, oversee the audit process, risk management process and external audit functions.

Nomination Committee

We have established a nomination committee with written terms of reference in compliance with the Corporate Governance Code and Corporate Governance Report as set out in Appendix 14 to the Listing Rules.

The nomination committee consists of three members, namely Ms. Bi Hui, Mr. Fung Nam Shan and Mr. Wang Yuqing. Ms. Bi Hui has been appointed as the chairman of the nomination committee.

The primary duties of the nomination committee are to make recommendations to our Board on the appointment of members of our Board.

Remuneration Committee

We have established a remuneration committee with written terms of reference in compliance with the Corporate Governance Code and Corporate Governance Report as set out in Appendix 14 to the Listing Rules.

The remuneration committee consists of three members, namely Mr. Wang Yuqing, Ms. Bi Hui and Mr. Fung Nam Shan. The chairman of the remuneration committee is Mr. Wang Yuqing.

The primary duties of the remuneration committee are to make recommendations to the Board on our Company’s policy and structure concerning the remuneration of our Directors and senior management and on the establishment of a formal and transparent procedure for developing remuneration policy, review and approve performance based remuneration by reference to corporate goals and objectives, to determine the terms of the specific remuneration package of each executive Director and senior management and to ensure none of our Directors determine their own remuneration.
